RECITALS

WHEREAS, Truster LLC (“Truster”) is a company that operates a platform facilitating secure customer-to-customer (C2C) transactions primarily through its mobile application;

WHEREAS, Truster provides services that include an escrow payment system, automated identity verification, and a secure environment for buying and selling goods and services;

WHEREAS, the User desires to access and use the Truster platform to engage in C2C transactions under the terms set forth herein;

WHEREAS, Truster agrees to grant access to its platform to the User subject to the User’s compliance with the terms and conditions of this Agreement;

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

Article 1: Acceptance of Terms

1.1 Contractual Agreement

a. Binding Agreement: By completing the registration process and/or utilizing the Truster LLC (“Truster”) platform, you, henceforth referred to as the “User,” hereby enter into a binding contract with Truster. This User Agreement, including all documents, policies, and subsequent amendments incorporated by reference (collectively referred to as the “Agreement”), constitutes the entire agreement between the User and Truster regarding the use of the Truster platform. b. Condition of Use: Your access to and use of the Truster platform is conditioned upon your acceptance of and compliance with the terms of this Agreement. By accessing or using the Truster platform, you signify your agreement to be bound by this Agreement.

1.2 Incorporation by Reference

a. Documents Included: This Agreement includes, but is not limited to, the Privacy Policy, Terms and Conditions, and any other policy or guideline referenced herein or otherwise posted on the Truster platform.

b. Acceptance of Additional Terms: Some services offered on the Truster platform may require your acceptance of additional terms and conditions. To the extent those additional terms and conditions conflict with this Agreement, they supersede this Agreement only in relation to those specific services.

1.3 Amendment and Notification

a. Right to Amend: Truster reserves the right, at its sole discretion, to modify or replace any part of this Agreement at any time. It is your responsibility to check this Agreement periodically for changes. Your continued use of or access to the Truster platform following the posting of any changes to this Agreement constitutes acceptance of those changes.

b. Notification of Changes: Truster will provide notice of such changes by revising the date at the top of the Agreement or by providing direct communication through email notifications or other available means.

1.4 Non-Acceptance of Terms

a. Discontinuation of Use: If at any point you do not agree to any portion of the then-current version of this Agreement, the Privacy Policy, or any other Truster policy, rules or codes of conduct relating to your use of the Truster platform, your license to use the Truster platform shall immediately terminate, and you must immediately stop using the Truster platform.

b. Consequence of Non-Acceptance: Discontinuing use is your sole right and remedy with respect to any dissatisfaction with the Truster platform, the terms of this Agreement, any policy or practice of Truster in operating the platform, or any content or information transmitted through the platform.

Article 2: User Account

2.1 Account Creation

a. Mandatory Registration: To access and utilize the services offered by Truster LLC (“Truster”), each User is required to create and maintain a user account
(“Account”). Registration for an Account mandates that the User provide truthful, accurate, and complete information as prompted by the registration form. The User must promptly update their information should any changes occur to ensure continued accuracy.

b. Verification: Truster reserves the right to request additional information or documentation to verify the identity and background of any User as part of the registration process or at any subsequent time.

2.2 Account Responsibilities

a. Security Obligation: The User is solely responsible for maintaining the confidentiality of their Account login information, including their password, and for all activities that occur under their Account. The User agrees to implement adequate security measures to prevent unauthorized access, use, or disclosure of their Account details.

b. Notification of Breach: The User must promptly notify Truster’s customer support team via [email protected] in the event of any unauthorized use, suspected unauthorized use, or security breach of their Account. The User’s prompt notification will assist Truster in taking timely and appropriate actions.

Article 3: Platform Use

3.1 Compliance

a. Legal Compliance: The User agrees to comply with all applicable local, national, and international laws and regulations regarding their use of the Truster platform. This includes, but is not limited to, laws relating to copyright, data privacy, international communications, and the exportation of technical or personal data.

b. Adherence to Agreement Terms: Users must adhere to all terms outlined in this User Agreement, the Privacy Policy, and any other policies made available on the platform. Violation of any of these terms may result in termination of the User’s Account and access to Truster’s services.

3.2 Prohibited Activities

a. Scope of Prohibitions: Users are prohibited from engaging in any activities on the platform that are illegal, fraudulent, or harmful to the interests of Truster, its users, or third parties. This includes activities that are deceitful, invasive of another’s privacy, or that adversely affect the operation of the platform.

b. Specific Prohibitions: The User agrees not to: i. Use the platform to conduct any form of scam, phishing, or similar fraudulent activity. ii. Upload, post, or otherwise transmit any content that violates the intellectual property rights or other rights of any party. iii. Disrupt servers or networks
connected to the Truster platform. iv. Use any robot, spider, scraper, or other automated means to access the platform for any purpose without express written permission from Truster.

c. Guidance and Enforcement: Detailed definitions and examples of prohibited activities are provided in the Privacy Policy and Terms and Conditions. Truster reserves the right to investigate and prosecute violations of any of the above, including intellectual property rights infringement and platform security issues, to the fullest extent of the law.

Article 4: Fees and Payments

4.1 Fees Incurred by Users

a. General Fee Obligation: The User agrees to pay all applicable fees associated with transactions conducted on the Truster LLC (“Truster”) platform. These fees may include, but are not limited to, service fees, transaction fees, and any other fees that Truster may require for the use of its services.

4.2 Escrow Payment System

a. Escrow Services: All payments made in connection with transactions on the Truster platform are processed through Truster’s designated escrow payment system. This system securely holds payment from the Buyer and releases it only once the transaction is confirmed as completed according to terms set by Truster between the Buyer and Seller.

b. Release of Funds: Funds held in escrow will only be released to the Seller once all conditions of the transaction have been met and confirmed by both parties and Truster, ensuring a secure and trustworthy transaction environment.

Article 5: Intellectual Property

5.1 Ownership and Rights

a. Ownership of Content: All intellectual property rights in and to the Truster platform, including but not limited to its software, design, text, images,
graphics, video, information, applications, software, and other content, are the exclusive property of Truster or its licensors.

b. Protected Elements: This includes any works, inventions, discoveries, and improvements, whether registered or unregistered, relating to the visual expressions, design aesthetics, functionality, or other aspects of the Truster platform.

5.2 User License

a. Grant of License: Truster grants the User a limited, revocable, nonexclusive, non-transferable license to access and use the Truster platform and its content strictly in accordance with this User Agreement.

b. Purpose of License: The license is granted for the sole purpose of enabling the User to use and enjoy the benefit of the services provided by Truster, in the manner permitted by this Agreement.

c. Restrictions: Users are not permitted to lease, distribute, license, sell, or otherwise commercially exploit the Truster platform or its content; nor may Users modify, make derivative works of, disassemble, reverse compile, or reverse engineer any part of the platform, or attempt to extract the source code of the software.

5.3 Intellectual Property Infringement

a. Protection of Rights: Truster respects the intellectual property rights of others and expects its users to do the same. The User agrees to not engage in any activity on the platform that infringes on the intellectual property rights of others, including Truster.

b. Notification of Infringement: Users should notify Truster immediately if they become aware of any infringement of intellectual property rights on the
platform. Truster will take appropriate actions, which may include removing the infringing content or terminating the accounts of repeat infringers.

Article 6: Termination

6.1 Termination Rights

a. Unilateral Termination by Truster: Truster LLC (“Truster”) reserves the right to terminate this Agreement and the User’s access to the Truster platform at any time, at Truster’s sole discretion, with or without reason, and without prior notice to the User. This includes termination due to breach of this Agreement, violation of any applicable policies, or any other conduct that Truster deems harmful to its services, other users, or its interests.

6.2 Effects of Termination

a. Discontinuation of Services: Upon termination, the User will lose all access to the Truster platform and any services provided therein. All rights granted to the User under this Agreement will immediately cease.

b. Settlement of Accounts: Any outstanding issues such as unsettled payments or unresolved disputes must be settled according to the terms outlined in the Agreement and applicable laws.

Article 7: Dispute Resolution

7.1 Arbitration Agreement

a. Mandatory Arbitration: All disputes, claims, or controversies arising out of or relating to this Agreement or the User’s use of the Truster platform shall be resolved exclusively through final and binding arbitration, rather than in court, except that the User may assert claims in small claims court if the claims qualify.

b. Arbitration Rules: The arbitration will be conducted by a neutral arbitrator in accordance with the rules of [Insert Arbitration Association], in the state of Texas, and not by a judge or jury.

7.2 Waiver of Jury Trial The User expressly waives any right to a jury trial in any legal proceeding against Truster under or related to this Agreement.

Article 8: General Provisions

8.1 Modification of Agreement

a. Updates and Modifications: Truster reserves the right to modify this Agreement at any time. Changes will take effect immediately upon their posting on the Truster platform. It is the User’s responsibility to review this Agreement periodically for updates.

8.2 Severability If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law, the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Agreement will continue in effect.

8.3 Entire Agreement This Agreement, together with any amendments and any additional agreements the User may enter into with Truster in connection with the Truster platform, shall constitute the entire agreement between the User and Truster concerning the platform.
